Agreement to These Terms

These Terms of Service ("Terms") are an agreement between you and eHook Management Inc. ("eHook," "we," "us," or "our"). They govern your use of our website, our tools (including the Attribution Shift Dashboard), our client invoice portal, and any related services (collectively, the "Services").

By accessing or using the Services — including signing in, viewing an invoice, or making a payment — you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Access or attempt to access accounts, invoices, or data that do not belong to you
  • Interfere with or disrupt the Services, including by circumventing rate limits or security measures
  • Use automated tools to scrape, probe, or overload the Services
  • Upload or transmit malicious code, spam, or unlawful content
  • Misrepresent your identity or impersonate another person or organization
  • Use the Services in violation of any applicable law or regulation

We may suspend or terminate access to the Services for any use that violates these Terms.

Accounts and Sign-In

Certain parts of the Services — such as the client invoice portal and the Attribution Shift Dashboard — require you to sign in, either with your Google account (via Google OAuth) or an email-and-password account.

  • Accurate information: You must sign in with an account and email address that belong to you
  • Account security: You are responsible for maintaining the security of your account and credentials, and for all activity that occurs under your account
  • Authorized access only: Invoices and payment information are only shown to the email address the invoice was issued to; you must not attempt to view invoices addressed to someone else
  • Google sign-in: Your use of Google sign-in is also subject to Google's own terms and privacy policy, and you can revoke eHook's access anytime from your Google Account settings

Notify us promptly at the contact address below if you suspect unauthorized use of your account.

Billing and Payments

Invoices issued through the Services are payable via Stripe, our third-party payment processor. We do not store your full card details; payments are processed on Stripe-hosted pages subject to Stripe's own terms and privacy policy.

  • Amounts and due dates: The amounts, currency, due dates, and any installment schedule for your invoice are set out on the invoice itself
  • Installments: Where an invoice is split into installments, each installment is due by its stated due date; paying one installment does not discharge the others
  • Payment reminders: We may send you email reminders about upcoming or overdue payments related to your invoices
  • Late or failed payments: If a payment fails, we or Stripe may retry it and will notify you; overdue amounts remain payable
  • Refunds and disputes: Refunds, credits, and billing disputes are handled on a per-invoice basis under the underlying service agreement between you (or your organization) and eHook — contact us to raise a billing question before initiating a card dispute
  • Taxes: Unless stated otherwise, invoiced amounts are exclusive of applicable taxes, which are your responsibility where required by law

Third-Party Services

The Services integrate with third-party services that have their own terms and privacy practices:

  • Stripe: Payment processing for invoices and installments
  • Google: OAuth sign-in and, where you connect it, read-only access to your Google Analytics 4 data
  • QuickBooks (Intuit): Accounting synchronization of invoices and payments for bookkeeping purposes

We are not responsible for the availability, accuracy, or conduct of third-party services. Your use of them is governed by their respective terms, and outages or changes on their side may affect parts of the Services.

Intellectual Property

The Services, including all content, tools, branding, and software we provide, are owned by eHook or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You retain all rights to the data you provide or connect to the Services.

Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that analytics data or projections shown in our tools are accurate or suitable for any particular decision.

Limitation of Liability

To the fullest extent permitted by law, eHook and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.

To the fullest extent permitted by law, our total aggregate liability arising out of or related to the Services will not exceed the greater of (a) the amounts you paid to eHook through the Services in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless eHook from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Services.

Suspension and Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms, if required by law, or to protect the Services or other users. Provisions that by their nature should survive termination — including payment obligations, disclaimers, limitations of liability, and governing law — will survive.

Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the courts located in Montreal, Quebec, and you consent to their jurisdiction.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or for legal, operational, or regulatory reasons. We will notify you of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, through other communication channels. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
